Creator Agreement

1. Eligibility

To submit content to Indie Vigilante, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal right to enter into this Agreement
• Own or control all rights to the content you submit
• Have a valid email address and creator account on the platform

2. Content Submission

By submitting content to Indie Vigilante, you represent and warrant that:

• You are the original creator or authorized rights holder of all submitted content
• Your content does not infringe any third-party intellectual property rights, including music, footage, performances, or trademarks
• Your content does not contain defamatory, obscene, or unlawful material
• Your content meets our technical requirements: MP4 or MOV format, minimum 1080p resolution
• All cast, crew, and collaborators have provided appropriate releases and consents

Indie Vigilante reserves the right to reject, remove, or request modifications to any submitted content at our sole discretion, including after initial approval.

3. License Grant

By submitting content, you grant Indie Vigilante a non-exclusive, worldwide, royalty-bearing license to host, stream, distribute, promote, and monetize your content on the Indie Vigilante platform and its associated applications.

This license does not transfer ownership of your content. You retain full ownership of all intellectual property rights in your submitted content.

This license remains in effect for the duration your content is live on the platform. You may request removal of your content at any time by contacting us at creators@indievigilante.com.

4. Revenue Share

Indie Vigilante operates on the following revenue sharing model:

Revenue is calculated based on subscription revenue attributable to your content, rental fees, and other monetization methods as determined by Indie Vigilante. Revenue calculations are performed monthly.

Payouts are processed via Stripe to your connected bank account. Minimum withdrawal threshold is $25.00. Indie Vigilante is not responsible for any fees charged by Stripe or your financial institution.

Indie Vigilante reserves the right to modify the revenue share percentage with 30 days written notice to active creators.

5. Exclusivity & Distribution

This Agreement is non-exclusive. You are free to distribute your content on other platforms, subject to the following conditions:

• Full episodes may not be posted or distributed on social media platforms including but not limited to YouTube, Instagram, TikTok, Facebook, or X (Twitter) while your content is live on Indie Vigilante
• Trailers, clips under 3 minutes, and promotional content are permitted on all platforms
• If your content is subject to an active exclusivity agreement with another platform, you must not submit it to Indie Vigilante without written authorization from that platform

6. Content Review & Approval

All submitted content is subject to review by the Indie Vigilante editorial team within 48 hours of submission. We reserve the right to:

• Approve content for immediate publication on the platform
• Request edits or additional information before approval
• Reject content that does not meet our quality standards or community guidelines
• Remove previously approved content that is found to violate this Agreement

Approval decisions are at the sole discretion of Indie Vigilante and are not subject to appeal.

7. Prohibited Content

You may not submit content that:

• Contains explicit sexual content or nudity
• Depicts or promotes violence, hate speech, or discrimination
• Infringes on third-party intellectual property rights
• Contains unauthorized use of copyrighted music, footage, or performances
• Is defamatory, fraudulent, or misleading
• Violates any applicable local, state, national, or international law

8. Creator Responsibilities

As a creator on the Indie Vigilante platform, you agree to:

• Maintain accurate account information including payment details
• Promptly respond to communications from the Indie Vigilante team
• Notify us immediately if you become aware of any rights conflicts with your submitted content
• Not engage in any fraudulent activity to artificially inflate views or revenue
• Comply with all applicable laws and regulations in the production and distribution of your content

9. Termination

Either party may terminate this Agreement at any time:

• By you: Request removal of your content and account deletion by emailing creators@indievigilante.com
• By us: We may suspend or terminate your account immediately if you violate this Agreement, with or without notice

Upon termination, any unpaid earnings above the $25.00 minimum threshold will be paid out within 30 days. Earnings below the minimum threshold will be forfeited.

10. Limitation of Liability

Indie Vigilante shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement or your use of the platform. Our total liability shall not exceed the total revenue paid to you in the 3 months preceding the claim.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of Los Angeles County, California.

12. Modifications

Indie Vigilante reserves the right to modify this Agreement at any time. We will notify active creators of material changes via email with at least 30 days notice. Continued use of the platform after notice constitutes acceptance of the modified Agreement.
